All pricing and specifications are non-binding.

Force majeure includes (but not limited to):

• Supply chain disruption

• Tariffs

• Government actions

• Transportation failures

8. Governing Law & Dispute Resolution

Governed by Nevada law.

All disputes shall be resolved by binding arbitration in Clark County, Nevada (AAA rules).

• Class actions waived

• IP disputes may go to court

9. Termination

GST Gear may terminate access at any time.

10. General Provisions

• Entire agreement clause

• Severability

• No implied waiver

SECTION B — PRODUCT & RISK DISCLAIMER 

11. Inherently Dangerous Activities & Assumption of Risk

Products may be used in hazardous applications including:

• Overhead lifting

• Rigging systems

• Performer flying / human suspension

The Buyer voluntarily assumes all risks, including:

• Serious injury

• Death

• Property damage

12. Equipment Supply Only 

GST Gear LLC is strictly an equipment supplier.

GST Gear does NOT provide:

• Engineering design

• Load calculations

• System integration

• Installation

• Safety certification

Any guidance provided is informational only and non-binding.

13. Absolute Buyer Responsibility

Buyer is solely responsible for:

• System design and engineering

• Load calculations and safety verification

• Compliance with all codes and standards

• Installation, operation, and maintenance

• Engaging qualified professionals

14. No Reliance Clause

Buyer confirms it does NOT rely on GST Gear for:

• Engineering decisions

• System safety

• Design validation

15. High-Risk Applications

Any use involving:

• Human lifting

• Overhead rigging

requires:

• Independent engineering approval

• Redundant safety systems

16. Product Use & Modification

Products must be used within rated limits.

GST Gear does not certify or approve such use.

Any:

• Misuse

• Modification

• Improper installation

17. Limitation of Liability 

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

GST Gear shall NOT be liable for:

• Indirect, incidental, consequential damages

• Project delays or loss of use

Total liability is strictly limited to:
The purchase price of the product

18. Indemnification & Defense

Buyer agrees to:

Defend, indemnify, and hold harmless GST Gear from ALL claims, including:

• Injury or death

• Property damage

• Improper use or installation

This includes legal defense costs.

19. Waiver of Claims

Buyer waives all claims except in cases of proven gross negligence or willful misconduct.

20. Disclaimer of Warranties

All products are provided:

“AS IS” and “AS AVAILABLE”

All warranties disclaimed unless expressly stated.

21. Insurance Responsibility

Buyer is responsible for maintaining adequate insurance.

GST Gear’s insurance does not extend to Buyer operations.

SECTION C — SALES TERMS ADDENDUM

22. Quotations & Order Acceptance

• Quotes are non-binding

• Orders binding only upon written acceptance

23. Prices & Taxes

Prices exclude:

• Sales tax

• Duties

• VAT

Governed by Incoterms® 2020

24. Payment Terms

GST Gear may require:

• Advance payments

• Milestone payments

25. Shipping & Risk Transfer

Risk transfers per Incoterms® 2020.

Delivery dates are estimates only.

26. Inspection & Acceptance

Buyer must inspect within 48 hours.

Failure = acceptance.

27. Returns & Cancellations

• All sales final unless approved

• RMA required

• Restocking fees may apply

• Custom items non-returnable

28. Warranty

Covered by GST Gear Limited Warranty only.

Remedy limited to repair or replacement.

29. Limitation of Liability 

Total liability capped at product price.

No consequential damages.

30. Compliance & Export Control

Buyer must comply with:

• Export laws

• Sanctions

• Trade regulations

31. Governing Law 

Nevada law applies.
CISG excluded.

FINAL ACCEPTANCE

By purchasing, accepting delivery, or using any products supplied by GST Gear LLC, the Buyer:

• Confirms they have read and understood these Terms

• Agrees to be legally bound

• Assumes full responsibility for all risks
