Total liability, if any, shall not exceed the amount paid by you to GST Gear for the transaction giving rise to the claim.

By submitting any information, files, drawings, feedback, or materials to GST Gear, you grant GST Gear a non-exclusive, royalty-free, perpetual, irrevocable, worldwide license to use such materials for lawful business purposes.

You represent that you have the right to submit such content and agree to indemnify GST Gear against related claims.

7. Pricing, Errors & Force Majeure

All pricing, specifications, and descriptions on the Site are informational only and non-binding.

GST Gear reserves the right to correct errors, cancel orders, or revise pricing at any time.

GST Gear shall not be liable for delays or non-performance caused by events beyond reasonable control, including natural disasters, pandemics, supply-chain disruptions, labor shortages, governmental actions, tariffs, sanctions, or transportation failures.

8. Governing Law & Dispute Resolution (Nevada)

These Terms shall be governed by and interpreted exclusively under the laws of the State of Nevada, without regard to conflict-of-law rules.

Any dispute arising from or relating to these Terms, the Site, or related transactions shall be resolved by confidential binding arbitration conducted in Clark County, Nevada, in accordance with the rules of the American Arbitration Association (AAA).

• Class actions and class arbitration are expressly waived

• Intellectual property disputes may be brought in Nevada state or federal courts

9. Termination

GST Gear may suspend or terminate Site access at any time without notice. Upon termination, you must cease all use of the Site and destroy any obtained materials.

10. General Provisions

• These Terms constitute the entire agreement regarding Site use

• Headings are for convenience only

• If any provision is unenforceable, the remainder remains in effect

• No waiver shall be implied by failure to enforce any provision

Sales Terms Addendum

(Applies to all quotations, sales orders, invoices, and purchases)

This Sales Terms Addendum supplements the Terms and Conditions above and governs all sales of products and services by GST Gear LLC.

In the event of a conflict, this Addendum shall control.

1. Quotations & Order Acceptance

• All quotations are valid only for the period stated and are non-binding

• Orders are binding only when accepted in writing by GST Gear

• GST Gear may reject any order at its discretion

2. Prices & Taxes

• Prices exclude sales tax, VAT, GST, duties, customs fees, and brokerage charges unless stated otherwise

• Responsibility for taxes and duties is determined by the agreed Incoterms® 2020

3. Payment Terms

• Payment terms are as stated on the invoice or sales agreement

• GST Gear may require advance or milestone payments

• Late payments may delay production or shipment

4. Shipping & Incoterms

• Shipments are governed by Incoterms® 2020 as specified in the sales documents

• Risk of loss transfers according to the agreed Incoterm

• Delivery dates are estimates only

5. Inspection & Acceptance

• Buyer must inspect goods immediately upon receipt

• Claims for damage, shortage, or non-conformance must be reported within 48 hours

• Failure to report constitutes acceptance

6. Returns & Cancellations

• All sales are final unless expressly agreed in writing

• Approved returns require an RMA and may incur restocking fees

• Custom or made-to-order products are non-returnable

7. Warranty

• Products are covered by GST Gear’s Limited Warranty

• Remedies are limited to repair or replacement at GST Gear’s discretion

• No other warranties apply

8. Limitation of Liability (Sales)

GST Gear’s total liability for any claim shall not exceed the purchase price of the affected product.

GST Gear shall not be liable for indirect, incidental, or consequential damages, including project delays or loss of use.

9. Compliance & Export Controls

Buyer agrees to comply with all applicable export control laws, sanctions, and trade regulations and shall not resell or export products in violation of such laws.

10. Governing Law (Sales)

All sales shall be governed by the laws of the State of Nevada, USA, excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG).
